Service Terms and Conditions
These Terms and Conditions govern the sale and provision of security assessments, consultancy, and related services (“Services”) by Intex IT Ltd (“we”, “our”, “us”) to the client (“you”, “your”). These Terms are divided into:
- Section 1 – Security Assessments
- Section 2 – Consultancy Services
- Section 3 – General Terms
Section 3 applies to all services provided.
These Terms supersede any prior agreements, discussions, or communications unless agreed in writing.
Section 1 – Security Assessments
1.1 Formation of Agreement
Any acceptance of a quotation or proposal constitutes an offer to purchase services under these Terms. A binding agreement is formed once we confirm acceptance in writing.
1.2 Our Obligations
We shall:
- Deliver assessments (e.g. Cyber Essentials, IASME, or equivalent) with reasonable skill and care
- Assess submissions against relevant scheme criteria
- Provide feedback and, where applicable, facilitate certification
1.3 Your Obligations
You agree to:
- Provide accurate, complete, and truthful information
- Ensure competent personnel support the assessment process
- Maintain appropriate backups of systems and data
- Comply with scheme rules and not misrepresent certification status
1.4 Fees
- Fees must be paid in accordance with the agreed quotation
- Assessment fees are non-refundable once work has commenced
- Re-assessment may require additional fees if timelines are missed
1.5 Certification
Certification is subject to meeting scheme criteria. Certification does not guarantee absence of vulnerabilities.
Section 2 – Consultancy Services
2.1 Scope of Services
We will deliver consultancy services as outlined in the agreed proposal, including but not limited to:
- Security advisory
- Compliance support
- Risk assessments
- Training and awareness programmes
2.2 Performance
We will:
- Deliver services with reasonable skill and care
- Rely on timely provision of accurate information from you
2.3 Client Responsibilities
You shall:
- Appoint a primary contact
- Provide necessary access, information, and assistance
- Maintain backups of all systems and data
2.4 Working Hours
Standard service hours are Monday to Friday, 9:00–17:30. Work outside these hours may incur additional charges.
2.5 Fees and Payment
Fees are payable as stated in the proposal. Additional work outside agreed scope will be charged at standard rates.
Section 3 – General Terms
3.1 Payment
- All invoices must be paid within agreed terms
- Late payments may incur interest and service suspension
3.2 Liability
We shall not be liable for:
- Indirect or consequential loss (including loss of profit or data)
- Failures caused by inaccurate or incomplete information provided by you
Our total liability is limited to the fees paid for the relevant service.
3.3 Confidentiality
Both parties agree to keep confidential information secure and not disclose it without consent, unless required by law.
3.4 Data Protection
We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Data is used solely for service delivery and contractual obligations.
3.5 Intellectual Property
All materials, methodologies, and deliverables remain our intellectual property unless otherwise agreed.
3.6 Termination
We may terminate services if:
- Payment terms are breached
- You fail to meet obligations
- Insolvency or cessation of business occurs
Upon termination, all outstanding payments become immediately due.
3.7 Force Majeure
Neither party shall be liable for failure to perform due to events beyond reasonable control.
3.8 Governing Law
These Terms are governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the English courts.
Definitions
- Services – Assessments and/or consultancy provided by Intex IT Ltd
- Fees – Charges agreed in proposals or quotations
- Business Days – Monday to Friday excluding UK public holidays
